The rules governing your use of the SiteSinc platform.
These Terms of Service ("Terms") govern your access to and use of the SiteSinc document hosting, Request for Information (RFI), and forms platform ("Service") provided by SiteSinc ("SiteSinc," "we," "us," or "our") through the website www.sitesinc.co.uk or associated applications. By accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, you must not access or use the Service. These Terms are designed to comprehensively protect SiteSinc, its users, and third parties while ensuring compliance with global legal standards, including data protection and intellectual property laws. SiteSinc operates as an unincorporated entity and is not a registered limited company, which does not affect your rights or our obligations hereunder.
Note on Data and Pricing: Plans advertised as offering "unlimited data" are subject to a fair usage limit of 50GB per account. Pricing for all plans is subject to change with 7 days’ notice, communicated via email or through the Service. Subscriptions and cancellations are processed exclusively through Stripe.
3.1 Eligibility: To use the Service, you must be at least 18 years old or the age of majority in your jurisdiction, have the legal capacity to enter into binding contracts, and not be barred from using the Service under applicable laws or sanctions lists (e.g., OFAC, EU sanctions).
3.2 Account Creation: To access premium features or store Content, you must register an account by providing accurate, complete, and current information, including full name, valid email address, payment details (processed via Stripe for paid Subscriptions), and any other information requested during registration.
3.3 Account Accuracy: You agree to update your account information promptly if it changes. SiteSinc is not responsible for issues arising from inaccurate or outdated account information.
3.4 Account Security: You are responsible for maintaining the confidentiality of your account credentials, all activities conducted under your account, and notifying SiteSinc immediately at support@sitesinc.co.uk of any unauthorized access or security breach.
3.5 Account Restrictions: You may not share your account credentials with others, allow multiple users to access the Service under a single account without SiteSinc’s express written permission, or transfer or sell your account to another party.
3.6 Verification: SiteSinc reserves the right to verify your identity or eligibility at any time, including through third-party verification services.
4.1 License Grant: Subject to compliance with these Terms, SiteSinc grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal or business purposes during the term of your account or Subscription.
4.2 Permitted Uses: You may use the Service to upload, store, organize, and manage documents, RFIs, and forms (subject to the 50GB data limit for "unlimited" plans), share Content with authorized users within the Service’s functionality, generate and access reports, analytics, or dashboards, and integrate with approved Third-Party Services.
4.3 Prohibited Conduct: You agree not to use the Service for any illegal, fraudulent, or unauthorized purpose, upload or share unlawful Content, attempt to reverse-engineer the Service, interfere with its infrastructure, use automated tools without consent, impersonate others, or introduce harmful code.
4.4 Usage Limits: Your use is subject to limits (e.g., 50GB storage for "unlimited" plans). Exceeding these limits may result in additional fees, account restrictions, or suspension.
4.5 Compliance with Laws: You are responsible for ensuring your use complies with all applicable laws, including data protection, intellectual property, and export control laws.
4.6 Monitoring and Enforcement: SiteSinc may monitor your use and take action against violations, including account suspension or termination.
5.1 Your Content: You retain all ownership rights to Content you upload or create through the Service.
5.2 License to SiteSinc: By uploading Content, you grant SiteSinc a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, process, reproduce, display, and transmit your Content to provide and improve the Service.
5.3 Content Representations and Warranties: You warrant that you have all necessary rights to upload and share your Content, and that it does not infringe third-party rights or violate laws.
5.4 Content Restrictions: You agree not to upload Content that is illegal, harmful, or offensive.
5.5 Content Monitoring and Removal: SiteSinc may review, remove, or restrict Content that violates these Terms or poses a risk, at our sole discretion.
5.6 Content Backup and Loss: You are responsible for maintaining backups. SiteSinc is not liable for data loss unless caused by our gross negligence.
5.7 Data Retention: Content is retained during your account’s active term, subject to the 50GB limit. Upon termination, Content may be deleted after 30 days.
6.1 SiteSinc Intellectual Property: All software, designs, trademarks, and other proprietary materials related to the Service are owned by SiteSinc or its licensors. You may not copy, modify, or distribute them without consent.
6.2 Feedback: Feedback you provide grants SiteSinc a perpetual, royalty-free license to use and incorporate it without compensation.
6.3 Third-Party Intellectual Property: You are responsible for ensuring your Content does not infringe third-party rights.
6.4 DMCA Policy: SiteSinc complies with the DMCA. Infringement notices can be sent to support@sitesinc.co.uk.
7.1 Subscription Plans: Access to premium features requires a paid Subscription. Pricing is available at www.sitesinc.co.uk/pricing and may change with 7 days’ notice.
7.2 Payment Obligations: You agree to pay all fees via Stripe, provide a valid payment method, and authorize charges.
7.3 Billing Cycle: Fees are billed in advance monthly or annually through Stripe. Fees are non-refundable except as required by law.
7.4 Cancellations: You may cancel your Subscription through Stripe. Cancellations take effect at the end of the billing cycle, with no partial refunds.
7.5 Taxes: You are responsible for all applicable taxes.
7.6 Payment Processing: All payments are processed through Stripe, subject to their terms at www.stripe.com.
7.7 Late Payments: Non-payment may result in suspension, interest on overdue amounts (1.5% per month), and collection costs.
8.1 Privacy Policy: Your use is governed by our Privacy Policy at www.sitesinc.co.uk/privacy.
8.2 Data Storage: Data is stored in Frankfurt, Germany, in compliance with EU data protection standards.
8.3 Data Controller and Processor: You are the data controller; SiteSinc is the processor, acting only as necessary to provide the Service.
8.4 Data Security: We implement encryption, audits, and access controls to protect your data.
8.5 Data Breach Notification: We will notify you of breaches within 72 hours, per GDPR/UK GDPR.
8.6 International Data Transfers: Data is stored in Frankfurt. Project Assistant and other AI features may transfer chat messages and relevant project content to subprocessors in the United States (OpenAI and xAI). Transfers outside the UK/EU use Standard Contractual Clauses (SCCs) and, where applicable, the UK International Data Transfer Agreement (IDTA) or UK Addendum.
9.1 Integrations: The Service integrates with Third-Party Services like Stripe (payments) and AI providers OpenAI and xAI (Project Assistant). Their terms and our subprocessor agreements apply.
9.2 No Endorsement: SiteSinc does not endorse Third-Party Services. You use them at your own risk.
9.3 Data Sharing: Enabling Third-Party Services authorizes SiteSinc to share data as necessary.
10.1 Confidential Information: Non-public information accessed through the Service is confidential.
10.2 Obligations: You agree to use it only for its intended purpose and not disclose it without consent, except as required by law.
11.1 Termination by You: You may terminate your account via Stripe or by contacting support@sitesinc.co.uk. No refunds for prepaid fees.
11.2 Termination by SiteSinc: We may suspend or terminate your account for breaches, non-payment, or harmful activities.
11.3 Effect of Termination: Your license ends, and Content may be deleted after 30 days.
12.1 As-Is Basis: The Service is provided "as is" without warranties of any kind.
12.2 No Guarantee: We do not guarantee uninterrupted, error-free, or secure service.
13.1 Exclusion of Damages: SiteSinc is not liable for indirect, consequential, or punitive damages.
13.2 Liability Cap: Our liability is capped at the greater of fees paid in the last 12 months or $100 USD.
14.1 Your Indemnity: You agree to indemnify SiteSinc against claims arising from your use, Content, or violations of these Terms.
15.1 Governing Law: These Terms are governed by the laws of England and Wales.
15.2 Dispute Resolution: Disputes will be resolved through binding arbitration in London, UK, under LCIA rules, with exceptions for injunctive relief or mandatory court jurisdiction.
15.3 Class Action Waiver: You waive the right to participate in class actions.
16.1 Entire Agreement: These Terms, with the Privacy Policy, constitute the entire agreement.
16.2 Amendments: We may modify these Terms with 7 days’ notice. Continued use constitutes acceptance.
16.3 Severability: Invalid provisions will be modified to be enforceable; others remain in effect.
16.4 No Waiver: Failure to enforce a provision is not a waiver.
16.5 Assignment: You may not assign these Terms without consent; SiteSinc may assign freely.
16.6 Force Majeure: SiteSinc is not liable for delays due to events beyond our control.
16.7 Notices: Notices to you are sent via email or the Service; to SiteSinc at support@sitesinc.co.uk.
16.8 Unregistered Status: SiteSinc is an unincorporated entity, which does not affect your rights.
